Terms of Service

1. Introduction
These Terms of Service ("Terms") govern the use of the Studiously Connect platform ("Platform" or "Services") operated by Studiously LLC, a Virginia limited liability company ("Studiously," "we," "us," or "our"). By accessing or using the Platform, you agree to be bound by these Terms.
The Platform is provided to educational institutions ("Schools") under separate agreements (such as a Pilot Agreement or Master Service Agreement) and is made available to authorized students, alumni, and administrators ("Users") of those Schools. These Terms apply to all Users of the Platform.
2. Eligibility and Access
The Platform is a closed system. Access is limited to Users who have been pre-approved by their School. There is no open registration. You may only access the Platform if you are:
- A current student (juniors and seniors, typically ages 16–18+) authorized by your School;
- An alumnus/alumna whose directory information has been provided by your School;
- A School administrator authorized to manage the Platform on behalf of your institution.
You must authenticate via Google or Microsoft OAuth to access the Platform. You are responsible for maintaining the security of your account credentials.
3. Description of Services
Studiously Connect is an alumni engagement platform that enables Schools to facilitate structured connections between students and alumni, and among alumni themselves. The Services include:
- An alumni directory with search and discovery features;
- Student-to-alumni and alumni-to-alumni messaging through platform-routed email;
- Calendar integration for scheduling meetings;
- An administrative dashboard for School staff to manage engagement;
- AI-powered alumni profile enrichment (industry classification, seniority levels) to improve search quality.
4. User Responsibilities
By using the Platform, you agree to:
- Use the Platform only for its intended purpose of professional networking, mentorship, and alumni engagement;
- Not use the Platform for solicitation, spam, harassment, or any unlawful purpose;
- Not attempt to access data belonging to other Schools or Users outside your institution;
- Not attempt to reverse-engineer, scrape, or otherwise extract data from the Platform;
- Provide accurate information in your profile;
- Respect the "do not contact" preferences of alumni who have opted out of outreach.
Studiously reserves the right to suspend or terminate access for any User who violates these Terms or engages in conduct that is harmful to other Users or the integrity of the Platform.
5. Email Anonymity
All messages between students and alumni are routed through the Platform. Students and alumni never see each other's personal email addresses. Communications are sent from platform addresses (e.g., {school}@connect.studiously.ai) and matched to conversations via unique routing codes. This is an architectural feature of the Platform, not an optional setting.
While personal email addresses are not disclosed between parties, communications sent through the Platform may be visible to authorized School administrators through the administrative dashboard. School administrators may access message content for the purposes of monitoring engagement quality, providing student support, ensuring appropriate use of the Platform, and fulfilling the School's supervisory obligations. By using the Platform, you acknowledge that messages are not private from your School's administrators.
6. Data Ownership
All data provided by a School to Studiously remains the property of that School at all times. Studiously processes this data solely to provide the Services and does not sell, rent, or share School data with third parties for commercial purposes, advertising, or marketing.
The relationship between Studiously and each School with respect to personal data is governed by a Data Processing Agreement ("DPA"), which defines the categories of data processed, the purposes of processing, technical and organizational security measures, and each party's obligations under applicable data protection laws.
7. Intellectual Property
The Platform, including its design, code, features, documentation, and branding, is the intellectual property of Studiously LLC. Nothing in these Terms grants you any rights to Studiously's intellectual property except the limited right to use the Platform as an authorized User.
Content you submit to the Platform (such as profile information, messages, and biographical summaries) remains yours. By submitting content, you grant Studiously a limited, non-exclusive license to use, store, and display that content solely for the purpose of providing the Services.
8. Third-Party Services
The Platform integrates with third-party services to provide its functionality. These include cloud infrastructure providers (AWS, Supabase, Vercel), email delivery services (Resend), authentication providers (Google, Microsoft, LinkedIn), and AI services (OpenAI) for directory enrichment and search.
Alumni profile data (names, companies, roles, locations, and biographical summaries — but not email addresses, contact information, or student data) may be processed via the OpenAI API for industry classification, seniority classification, and search embedding generation. This processing is API-only with zero data retention; data is not used for model training.
A complete list of sub-processors is maintained in the DPA between Studiously and each School.
9. Disclaimers
The Platform is provided "as is" and "as available." Studiously makes no warranties, express or implied, regarding the Platform's availability, accuracy, reliability, or fitness for a particular purpose.
Studiously does not guarantee the accuracy of alumni profile information, including information enriched through AI-powered classification. Users should verify information independently where accuracy is material to their decisions.
Studiously is not responsible for the content of messages exchanged between Users. Users are solely responsible for the content they send through the Platform.
10. Limitation of Liability
To the maximum extent permitted by applicable law, Studiously shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Platform. Studiously's total aggregate liability to any User under these Terms shall not exceed the total fees, if any, paid by you to Studiously in the twelve (12) months preceding the event giving rise to liability.
Nothing in these Terms shall limit Studiously's liability for breaches of applicable data protection laws to the extent that such limitation is prohibited by law.
11. Termination
Your access to the Platform is contingent on your School's agreement with Studiously. If your School's agreement terminates or expires, your access will be revoked.
Studiously may suspend or terminate your individual access at any time if you violate these Terms. Upon termination of a School's agreement, all data is handled in accordance with the DPA, including data return or permanent deletion at the School's election.
12. Changes to These Terms
Studiously may update these Terms from time to time. If we make material changes, we will notify Schools through their designated point of contact. Continued use of the Platform after changes take effect constitutes acceptance of the updated Terms.
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia, without regard to its conflict of laws principles.
